Experience:

• Advised a UK-based pharmaceuticals company in establishing a joint venture with a Lebanese distributor to extend its distribution network to the Arab Gulf region, including negotiation with a former distributor over a dispute, drafting shareholders’ agreements, the new distribution contract and other contractual documents.
• Advised the shareholders of a group owning the largest chain of pharmacies in an East European country on restructuring the group, including drafting shareholders’ agreements, call and put options, rights of first refusal and their application under multiple European laws.
• Represented a client in the medical device sector in a wrongful termination of an agency agreement, involving issues of validity of an international arbitration clause and public policy considerations..
